This Authorization Agreement for Direct Payments (ACH Debit) is part of (and incorporated by reference into) the Elibrium Customer Agreement and Corporate Card Program Terms and Conditions (the “Agreement”) between Customer and Elibrium. Capitalized terms used and not otherwise defined herein will have same respective meanings given to such terms in the Agreement or the Nacha Operating Rules and Guidelines (“Nacha Rules”), as applicable.

PAYMENT AUTHORIZATION

Customer hereby authorizes Elibrium, Issuing Bank or their servicer to collect payments required under the terms of the Agreement or the Issuing Bank Cardholder Agreement, as applicable, by initiating ACH debit Entries to the deposit account Customer links to its Elibrium Platform account (the “Deposit Account”). Customer authorizes Elibrium, Issuing Bank or their servicer to increase the amount of any scheduled ACH debit Entry or assess multiple ACH debit Entries for the amount of any previously scheduled payment(s) that was not paid as provided for in the Agreement or Issuing Bank Cardholder Agreement, as applicable, and any unpaid amounts due to Elibrium or Issuing Bank.

Customer may not revoke this authorization until all amounts owed to Elibrium and Issuing Bank have been paid in full. Notwithstanding the foregoing, revoking this authorization does not change Customer’s obligations to repay all amounts owed to Elibrium and Issuing Bank under the Agreement or Issuing Bank Cardholder Agreement, as applicable. Customer remains liable for all such amounts even if Customer revokes this authorization.

BUSINESS PURPOSE ACCOUNT

Customer attests that the Deposit Account was established for business and commercial purposes only and not for personal, family or household purposes.

The initiation and transmission of each ACH Entry will be subject to, and will be made in accordance with, Nacha Rules. Customer agrees to comply with and be bound by the Nacha Rules and all applicable laws. Customer represents and warrants with respect to each ACH Entry that, on the date it is originated, Customer has authorized the debiting of the Deposit Account by at least the amount of the ACH Entry. Customer agrees to indemnify Elibrium for any losses, liabilities, costs or expenses Elibrium suffers or incurs as a result of any breach of these representations and warranties.
